September 29, 2003. Dr. Bob Wilson, CEO of Wilson Banwell and Mr. Jean Gosselin, President of PRO ACT are pleased to announce that our two firms have joined forces to create an exciting new venture in Quebec to attract new national and international business. Both parent companies will continue but will collaborate through the new venture. This venture will greatly assist our two organizations to present to the market a stronger enterprise to deliver and manage the highest quality services across Canada .

Mr. Gosselin stated that this “partnership enables PROACT to enhance its strong position in Quebec and opens up great opportunity to collaborate with a proven quality firm in other parts of the country.” He went on to acknowledge that “the new entity to be known as PROACT - Human Solutions, will combine the strong existing management and presence of both companies to better serve all clients and customers.”

Dr. Wilson is very excited about the potential for the combined entity and states “This association will significantly enhance our ability to serve our Quebec clients and it is with pride that Wilson Banwell associates with a professional firm such as PROACT . Jointly we will bring better solutions and stronger resources to both our customers. The marketplace has been requesting a better alternative than currently exists and we are responding with best in class products, people and service”.

It is our intent to begin the internal transition to PROACT - Human Solutions in Quebec immediately and to make a public announcement soon. Wilson Banwell 's Montreal staff have already begun working with the PROACT staff on transition procedures. Every effort will be taken to make this transition as smooth as possible and both companies will be supporting this amalgamation of staff and resources.
